1. Agreement to Legal Terms

These Terms and Conditions ("Legal Terms") are entered into by and between VeriStay Ltd, a company registered in England and Wales (Company No. 15166769) with its registered office at 128 City Road, London EC1V 2NX ("VeriStay", "we", "us", "our"), and the business customer or legal entity accessing or using the Services ("Customer", "you", "your").

These Legal Terms govern your access to and use of the VeriStay software-as-a-service platform, including the website at https://veristay.app, any associated mobile applications, APIs, dashboards, and related services (collectively, the "Services").

By accessing or using the Services, you confirm that:

you are acting in the course of business;
you have authority to bind the business or entity on whose behalf you are acting; and
you agree to be legally bound by these Legal Terms.

If you do not agree, you must not access or use the Services.

2. Business Use Only

The Services are provided strictly on a business-to-business (B2B) basis. They are not intended for use by consumers acting outside the scope of a trade, business, craft, or profession.

Consumer protection legislation, including the Consumer Rights Act 2015, does not apply to these Legal Terms.

3. Our Services

VeriStay is an AI-assisted property inspection and condition documentation platform. The Services support property operators, agents, and accommodation providers by analysing visual media (including images and video) to assist with identifying potential changes, missing items, or apparent damage between inspections.

The Services are decision-support tools only. They do not replace human inspection, professional judgment, or contractual responsibility.

4. AI Systems & Regulatory Positioning

4.1 AI Governance Framework

VeriStay develops and operates its AI systems in alignment with:

the UK Government's AI Regulation White Paper principles (safety, transparency, fairness, accountability, and contestability);
relevant provisions of the EU Artificial Intelligence Act (EU AI Act), where applicable to customers operating in the EU;
UK GDPR and the Data Protection Act 2018.

VeriStay's AI features are designed as human-in-the-loop systems and do not constitute:

automated decision-making with legal or similarly significant effect; or
high-risk AI systems as defined under the EU AI Act.

4.2 Nature of AI Outputs

You acknowledge and agree that:

AI-generated outputs may contain inaccuracies, omissions, false positives, or false negatives;
outputs are influenced by factors including image quality, lighting, occlusion, camera movement, and environmental conditions;
VeriStay does not guarantee detection of all damage, defects, losses, or changes in condition.

All AI outputs are provided for informational and operational support purposes only. Final responsibility for reviewing outputs and making decisions rests with you.

5. No Professional or Legal Advice

The Services do not constitute legal, insurance, valuation, surveying, or professional advice. VeriStay does not determine liability, fault, or contractual breach between parties.

6. Intellectual Property

All intellectual property rights in the Services, including software, models, algorithms, databases, documentation, and branding, are owned by or licensed to VeriStay.

Subject to compliance with these Legal Terms, VeriStay grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business operations.

You may not:

reverse engineer, decompile, or extract source code;
use the Services to develop or train competing systems;
resell, sublicense, or make the Services available to third parties without written consent.

7. Customer Data & Content

You retain ownership of all data, images, videos, and content you upload ("Customer Data"). You grant VeriStay a limited licence to process Customer Data solely to provide and improve the Services.

You warrant that:

you have all necessary rights and permissions to upload Customer Data;
processing such data complies with applicable data protection laws.

8. Subscriptions & Payment

Subscriptions are billed monthly or annually in advance in GBP (£). Fees are non-refundable except where required by law.

VeriStay may adjust fees with at least 30 days' written notice. Continued use constitutes acceptance.

9. Service Availability

While VeriStay aims for high availability, the Services are provided on an "as available" basis. Planned maintenance and unplanned interruptions may occur.

VeriStay does not guarantee uninterrupted or error-free operation.

10. Acceptable Use

You must not:

misuse the Services;
introduce malware or attempt unauthorised access;
scrape, mine, or extract data at scale;
use the Services in violation of law or third-party rights.

11. Confidentiality

Each party shall protect the other's confidential information and use it solely for purposes of performing under these Legal Terms.

Confidential information includes, but is not limited to, business plans, pricing, customer lists, technical data, and any information marked as confidential.

12. Term & Termination

These Legal Terms apply from first access until terminated.

Either party may terminate:

immediately for material breach;
for convenience with 30 days' written notice.

Upon termination, access to the Services will cease. Customer Data will be retained for 30 days to allow export, then deleted in accordance with our data retention policies.

13. Disclaimers

The Services are provided "AS IS" and "AS AVAILABLE". To the maximum extent permitted by law, VeriStay disclaims all warranties, express or implied, including but not limited to:

merchantability and fitness for a particular purpose;
accuracy or completeness of AI-generated outputs;
uninterrupted or error-free service.

14. Limitation of Liability

Nothing in these Legal Terms limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be excluded by law.

Subject to the above:

VeriStay shall not be liable for indirect, incidental, special, or consequential losses, including loss of profits, data, business opportunity, or goodwill;
VeriStay's total aggregate liability shall not exceed the fees paid by you in the 12 months preceding the claim.

15. Indemnity

You shall indemnify VeriStay against losses arising from:

misuse of the Services;
breach of these Legal Terms;
unlawful Customer Data;
claims by third parties arising from your use of the Services.

16. Governing Law & Jurisdiction

These Legal Terms are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over any disputes arising from or relating to these Legal Terms.

17. Changes to Terms

We may update these Legal Terms by providing at least 30 days' notice via email or the Services. We will highlight material changes.

Continued use after the effective date of changes constitutes acceptance of the updated terms.

18. General Provisions

Entire Agreement: These Legal Terms, together with any applicable Order Form or DPA, constitute the entire agreement between the parties.
Severability: If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force.
No Waiver: Failure to enforce any right does not constitute a waiver of that right.
Assignment: You may not assign these Legal Terms without our prior written consent.
Third-Party Rights: These Legal Terms do not confer any rights on third parties under the Contracts (Rights of Third Parties) Act 1999.
